Terms of Service

Last updated: October 9, 2026

Quipthread is created and operated by V3 Digital Studio LLC ("V3 Digital Studio", "we", "our", or "us"). These Terms of Service ("Terms") are a binding agreement between you and V3 Digital Studio that governs your use of the Quipthread cloud comment platform at quipthread.com and app.quipthread.com (the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Service Description

Quipthread is a comment platform that lets website owners embed a hosted comment section on their pages. It is available as a cloud service, governed by these Terms, and as open-source software you can host yourself under the AGPL-3.0 license. These Terms apply only to the cloud service.

2. Accounts

  • Provide accurate and complete information when you create an account.
  • You are responsible for keeping your account credentials secure.
  • You must be at least 13 years old to use the Service.
  • One person or legal entity may not maintain more than one account.
  • If you suspect unauthorized access to your account, email us immediately at [email protected].

3. Acceptable Use

You agree not to use the Service to:

  • Post spam, unsolicited advertising, or bulk automated content.
  • Harass, threaten, or abuse other people.
  • Upload or transmit illegal content, including content that infringes the intellectual property rights of others.
  • Scrape, crawl, or systematically extract data from the Service without our written permission.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Impersonate any person or entity.

4. Content

You keep ownership of all content you post through the Service ("Your Content"). By posting it, you grant V3 Digital Studio a worldwide, non-exclusive, royalty-free license to store, display, and serve Your Content only as needed to provide the Service.

We may remove or disable access to any content that we determine, in our sole discretion, violates these Terms or applicable law.

5. Billing and Subscriptions

  • Paid plans are sold through Link, LLC, a Stripe company, which acts as the merchant of record and reseller for every subscription purchase. Link processes your payment, calculates and collects applicable sales tax or VAT, and appears on your receipts and card statement. Your purchase is also subject to the Link terms of service.
  • Paid plans are billed in advance, monthly or annually.
  • Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
  • You can cancel or change your plan at any time from the billing page in your dashboard. Cancellation takes effect at the end of the current paid period, and you keep access to paid features until then.
  • Apart from refunds required by the Link terms or by applicable law, we do not refund partial billing periods, unused features, or plan downgrades.
  • We may change prices with 30 days' notice. If you keep using a paid plan after a price change, you accept the new price.

6. Free Trial

New accounts can start a 14-day free trial of any paid plan without a payment method. Each account can use one trial. If you add a payment method before the trial ends, your paid subscription starts automatically when the trial ends. If no payment method is on file, the trial subscription is cancelled and your account returns to the free Hobby plan.

7. Account Deletion and Termination

You can delete your account at any time from the account page in your dashboard. Deleting your account cancels any active subscription immediately, without a refund for the rest of the billing period, and permanently deletes your sites, comments, and settings. Before deleting your account, you can export your comments from the dashboard in JSON format, or in CSV format on the Starter plan and above.

We may suspend or terminate your account without prior notice if you violate these Terms.

8. Indemnification

You agree to defend, indemnify, and hold harmless V3 Digital Studio and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your use of the Service;
  • Your Content;
  • your violation of these Terms; or
  • your violation of any rights of another person or entity.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, V3 DIGITAL STUDIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM.

11. Dispute Resolution

Please read this section carefully. It affects your legal rights.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration will take place in Delaware or, if you choose, by telephone or videoconference. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. You and V3 Digital Studio each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you and V3 Digital Studio each waive any right to a jury trial.

Exceptions. Either party may bring an individual action in small claims court. Either party may seek emergency injunctive relief in court to prevent irreparable harm while arbitration is pending.

Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing [email protected] with the subject line "Arbitration Opt-Out", your name, and your account email. Opting out does not affect any other part of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

13. Changes to These Terms

We may update these Terms from time to time. For material changes, we will email you at least 30 days before the change takes effect. If you keep using the Service after that date, you accept the updated Terms.
